Sponsor and clinic terms
These terms apply to every sponsor and clinic account on signandtalk.com, in addition to our general [terms of service](/terms). They exist to protect the learner. Read them as a promise you are making to the person whose practice you will see.
Pre-launch review notice
This document describes how Sign & Talk is built and operated today. It is written for learners and guardians in plain language. It is not legal advice. If you need advice about your rights, consult a qualified lawyer. Questions about this product: devesh@vinxign.com.

Who these terms are for
- Sponsor
- An organisation or individual with a sponsor account that buys activation keys (seats) and hands them to learners. Foundations, NGOs, CSR programmes, schools, employers, parents, donors.
- Clinic
- A doctor, speech-language therapist, audiologist, school for the deaf, hospital department or rehabilitation centre with a clinic account that follows a learner’s practice after the learner approves it.
- Learner
- The person practising in Sign & Talk. Learners are identified to partners only by an 8-digit public id.
- Report
- The privacy-safe practice summary: attempts, sessions, scores, trends and the sounds practised. It never includes a name, contact detail, device, location or audio.
By creating a sponsor or clinic account you accept these terms on behalf of the organisation you represent, and you confirm you are authorised to do so. If you are an individual sponsor you accept them personally.

Sponsors: buying seats
- Seats are sold per learner for a fixed duration (30, 90, 180 or 365 days) at the live catalogue price shown in the portal, pro-rated for shorter durations. Prices exclude taxes shown at checkout. A seat purchase is a one-time payment, not a subscription: nothing renews, nothing is charged again, and you receive a tax invoice for the order. Payment is taken once, in advance, by Razorpay; we do not store card or bank details.
- Region and currency. When you fill a cart you choose who the keys are for. Keys for learners in India are priced and paid in Indian rupees and work only for a learner whose account is in India; keys for learners outside India are priced and paid in US dollars and work anywhere. A key bought in rupees will not activate for a learner outside India, and we do not exchange one kind for the other after purchase. Check the region before you pay.
- Activation keys are generated only after the payment is verified. Each key unlocks one learner for the seat’s duration from the moment the learner activates it, not from the purchase date.
- You may see unused keys in full and export them. Once a learner uses a key, only its last four characters remain visible to you.
- Refunds follow the refund policy. Keys that have been used are not refundable. For unused keys, write to us; we will refund or revoke them at our discretion, normally within 30 days of purchase.
- You receive a tax invoice from Vinxign Media Private Limited. Sponsored seats are a purchase of subscriptions, not a donation, unless you have a separate written agreement with us that says otherwise.

Sponsors: handling keys and reports
- Give each key to one learner or their guardian. Do not publish keys, sell them, or offer them as prizes. A published key may be revoked.
- Partner logins. Instead of sharing a key you may create an e-mail + password login on a seat for a learner who cannot use Google sign-in. You may only do this for a learner (or, for a minor, a guardian) who has asked you to and who knows that you will be able to see their practice summary. Use the learner’s own e-mail address where they have one; you must pass the one-time password to them privately and never keep a list of passwords. The learner is asked to choose their own password at first sign-in and may change it at any time; you can reset it if they lose it, and you can disable the login. The account, its practice data and its e-mail address belong to the learner and are covered by our privacy policy, not by your organisation.
- Coupons and keys are different things: a coupon reduces what you pay at checkout; an activation key or login gives one learner access. A coupon never grants access and a key never changes a price.
- Tell learners you sponsor that you will be able to see their practice summary by public id. We tell them too, but the message should come from you.
- Use reports only to support learners and to report on your programme in aggregate. Do not use them to rank, reward, penalise, exclude or discipline an individual learner, and do not condition continued sponsorship on a score.
- Do not attempt to identify a learner from their public id, match it against other records, or ask learners for their id in order to look them up. If a learner tells you their id voluntarily, treat it as confidential.
- Do not share a learner’s report outside the organisation that bought the seat, except in aggregate form that cannot identify anyone.

Clinics: who may register
Clinic accounts are free and are for people professionally responsible for a learner’s speech, hearing or education. You must give a truthful clinic name, type and, where one exists, a professional registration number. We verify clinics in the background and show learners whether a clinic has been verified. Verification is a check of the details you gave us; it is not an endorsement of your practice.
We may refuse, suspend or close a clinic account at any time if we believe the details are false, the account is being used to reach learners the clinic is not responsible for, or these terms are broken.

Clinics: consent and access
- Access to a learner’s report exists only after the learner hands you the six-digit code from their app inbox. Never pressure a learner for the code, never ask them to read their inbox aloud in front of others, and never obtain a code from anyone but the learner or, for a minor, the learner’s parent or guardian.
- For a learner under 18, involve the parent or guardian before you request access, and add the learner only if that guardian agrees.
- Access is a standing permission that the learner can end at any moment from the app. When it ends, stop using anything you saw beyond your own clinical records.
- You may end access yourself from the portal. Do so when you stop working with the learner.
- The label you give a learner in the portal is for your own filing. Do not put the learner’s real name in it.

Clinics: using reports and sending guidance
- Reports are produced by an automated phoneme model. They are an educational aid. They are not a diagnostic instrument, they do not measure hearing, and they do not replace your assessment. You remain responsible for every clinical decision.
- Guidance you send reaches the learner’s app inbox under your clinic name. It is your professional communication; we do not review it. Keep it plain, specific and kind, and give the learner a way to reach you if you expect a reply — they cannot reply through the app.
- Treat what you learn from a report with the confidentiality you apply to any clinical note. Do not share it outside your care team.
- Do not use the portal to advertise, to solicit learners you do not treat, or to send anything other than guidance about speech practice.

Clinics: rewards
A clinic earns a reward when a learner linked to it buys a yearly Sign & Talk plan. The reward is 10% of the amount the learner actually paid for that yearly plan, credited as points. One point is worth one rupee. Monthly plans, sponsored seats, complimentary keys and plans gifted with points earn nothing. The learner pays the normal price; the reward comes out of our share, never theirs.
- “Linked” means the learner had granted your clinic access, and had not ended it, at the moment their payment was confirmed.
- Points are pending for 7 days after the payment, matching the learner’s refund window. If the learner is refunded inside that window, the pending points are voided. After 7 days they become available.
- Withdrawal: you may request a payout of available points from 500 points upward, to a UPI id or an Indian bank account in the clinic’s or clinician’s name. One request may be open at a time. We pay by manual transfer within 7 working days of approving the request and mark it paid in your portal. Tax on the amount is your responsibility; we may ask for a PAN before paying.
- Spending: you may instead spend available points on a monthly or yearly plan for a learner linked to you, at the plan’s current price in rupees. A gifted plan is not refundable and earns no reward.
- Points have no cash value except through these two routes, cannot be transferred to another account, and lapse if the clinic account is closed or suspended for a breach of these terms.
- We may correct or reverse points that were credited in error, or that arose from fraud, self-dealing (for example a clinic account buying plans for itself) or a payment that was later charged back. Every change appears in your ledger with a note.
- Do not steer a learner to a yearly plan they do not need, or condition your care on a purchase. Tell learners plainly that you earn a reward when they buy a yearly plan; the app tells them too.

Data, retention and your obligations
We are the data fiduciary for learner data under the Digital Personal Data Protection Act, 2023. When you view a report you become responsible for what you do with it. Keep exports and screenshots secure, delete them when no longer needed, and tell us promptly if a report is lost or exposed.
- We keep your sponsor or clinic account details, orders and audit records for as long as the account exists and for the period tax and accounting law require afterwards.
- Guidance notes are kept with the learner’s account and are removed when the learner deletes their account.
- We log every request, approval, report view and note as an audit trail, and we may show learners when a clinic last viewed their report.
- We may contact you at your account e-mail about orders, verification, changes to these terms, or a learner’s complaint.

Suspension, ending and changes
- You may close your account by writing to us. Unused keys remain valid for learners unless you ask us to revoke them.
- We may suspend an account immediately where we believe a learner is at risk or these terms are broken, and we may tell affected learners.
- We may change these terms. We will show the date at the top and, for material changes, e-mail account holders before they apply.
